Terms of Service

01 Acceptance of Terms

By downloading, installing, activating, or otherwise using PlanInk ("the Software"), you ("User") agree to be bound by these Terms of Service ("Terms") and our Privacy Policy, which is incorporated herein by reference.

If you are accepting these Terms on behalf of a company or other legal entity, you represent that you have the authority to bind that entity, and the terms "you" and "your" refer to that entity. If you do not have such authority, or if you do not agree with these Terms, you must not use the Software.

These Terms constitute the entire agreement between you and N2EDU INC. ("Company," "we," "us," or "our") with respect to PlanInk and supersede any prior agreements.

02 Service Description

PlanInk is a desktop PDF markup and annotation tool designed for utility, cable construction, and civil engineering plan sets. The Software allows users to open, annotate, mark up, and save PDF documents in a structured workflow optimized for field and office use.

The Software is provided under a tiered licensing model:

• Basic (Free): Full annotation capabilities; saved files include a PlanInk watermark.
• Professional: Single-seat license; clean saves without watermark; priority support.
• Team: Up to 10 seats; centralized license management; shared templates.
• Organization: Up to 50 seats (150 device activations); advanced administration controls.
• Enterprise: Custom seat counts, deployment options, and SLA; available by contacting sales.

We reserve the right to add, modify, or discontinue features at any time with reasonable notice to active paid subscribers.

03 License Types & Restrictions

Subject to your compliance with these Terms and timely payment of applicable fees, we grant you a limited, non-exclusive, non-transferable, revocable license to install and use PlanInk solely for your internal business or personal purposes on the number of devices permitted by your subscription tier.

Device limits per tier:

• Basic: Unlimited installs (watermarked saves).
• Professional: Up to 3 devices per seat.
• Team: Up to 3 devices per seat (30 devices for 10 seats).
• Organization: Up to 3 devices per seat (150 devices maximum for 50 seats).

You may not:

• Sublicense, sell, resell, transfer, assign, or otherwise commercially exploit the Software.
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of the Software.
• Modify, translate, adapt, or create derivative works based on the Software.
• Share license keys with individuals or entities outside your licensed organization.
• Use the Software to process or store data in violation of applicable laws.
• Remove, alter, or obscure any proprietary notices within the Software.

04 Free Trial

We offer trial license codes for the Professional tier upon request at planink.app. Trial codes are issued manually by N2EDU INC. within one business day of a valid request.

Trial licenses are intended for genuine evaluation purposes only. You may not request multiple trial codes for the same individual or organization. We reserve the right to decline or revoke trial access at our discretion.

Upon expiration of a trial code, the Software reverts to Basic tier functionality (watermarked saves). No data is deleted; files remain accessible for viewing and annotation.

05 Payment & Billing

Paid subscription fees are billed in advance on a monthly or annual basis, as selected at the time of purchase. All fees are stated in U.S. dollars and are exclusive of applicable taxes.

Refunds: Annual subscriptions may be refunded on a pro-rata basis within 30 days of the initial purchase if the Software does not perform as described. Monthly subscriptions are non-refundable after the billing period has commenced. To request a refund, contact support@planink.app.

Renewals: Subscriptions renew automatically unless cancelled at least 48 hours before the renewal date. You are responsible for cancelling your subscription prior to renewal.

Price changes: We will provide at least 30 days' written notice before changing subscription prices for existing subscribers. Continued use of the Software after a price change constitutes acceptance of the new pricing.

Failed payments: If payment fails, we will attempt to notify you. Access may be downgraded to Basic tier after a 7-day grace period. License keys remain valid and will be reactivated upon successful payment.

06 Acceptable Use

You agree to use PlanInk only for lawful purposes and in accordance with these Terms. You shall not use the Software:

• To process, transmit, or store any content that infringes third-party intellectual property rights.
• To violate any applicable local, state, national, or international law or regulation.
• To introduce viruses, malware, or other harmful code into files processed by the Software.
• To attempt to gain unauthorized access to any system or network related to PlanInk.
• In any manner that could damage, disable, overburden, or impair the licensing servers.
• To circumvent license validation, device limits, or any other technical restrictions.

Violation of this section may result in immediate suspension or termination of your license without refund.

07 Intellectual Property

PlanInk, including its source code, design, user interface, documentation, and all associated intellectual property, is and remains the exclusive property of N2EDU INC. and its licensors. These Terms do not grant you any ownership rights in the Software.

The PlanInk name, logo, and all related marks are trademarks of N2EDU INC. You may not use our trademarks without our prior written consent.

Your content: You retain full ownership of all PDF files and annotations you create using PlanInk. We claim no rights over your documents. You grant us no license to your content beyond what is technically necessary to operate the licensing and activation infrastructure.

08 Your Data & Privacy

PlanInk processes your PDF files locally on your device. File content is not transmitted to our servers. The only data we collect relates to license activation, device fingerprinting (for device-limit enforcement), and optional communications such as trial code requests or support inquiries.

Our full data practices are described in the Privacy Policy. By using PlanInk you acknowledge and agree to the Privacy Policy.

You are solely responsible for maintaining appropriate backups of your files. N2EDU INC. is not liable for any loss of data arising from software bugs, hardware failure, or user error.

09 Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, PLANINK IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, TITLE, OR NON-INFRINGEMENT.

We do not warrant that the Software will be uninterrupted, error-free, or free of viruses or other harmful components. We do not warrant that defects will be corrected, or that the Software will meet your specific requirements.

Some jurisdictions do not allow the exclusion of implied warranties, so the above exclusion may not apply to you. In such cases, our warranties are limited to the minimum required by applicable law.

10 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL N2EDU INC., ITS OFFICERS, DIRECTORS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE PLANINK.

IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THESE TERMS OR YOUR USE OF PLANINK EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

The limitations above apply regardless of the theory of liability (contract, tort, negligence, strict liability, or otherwise) even if we have been advised of the possibility of such damages.

11 Termination

You may terminate your subscription at any time by cancelling through your account portal or by contacting support@planink.app. Upon termination, your paid license will remain active until the end of the current billing period, after which it reverts to Basic tier.

We may suspend or terminate your access immediately, without prior notice or liability, if you breach any provision of these Terms or engage in conduct we determine to be harmful to the Software, other users, or N2EDU INC.

Upon termination for any reason, all licenses granted under these Terms cease immediately. Sections covering intellectual property, disclaimer of warranties, limitation of liability, and governing law shall survive termination.

12 Governing Law

These Terms shall be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of law provisions.

Any dispute arising from or relating to these Terms or your use of PlanInk that cannot be resolved informally shall be submitted to binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules. The arbitration shall take place in Florida. Judgment on the award rendered by the arbitrator may be entered in any court of competent jurisdiction.

Notwithstanding the foregoing, either party may seek injunctive or other equitable relief in a court of competent jurisdiction to prevent the actual or threatened infringement of intellectual property rights.

13 Changes to Terms

We reserve the right to modify these Terms at any time. When we make material changes, we will update the effective date at the top of this page and, for active paid subscribers, send a notification to the email address on file at least 14 days before the changes take effect.

Your continued use of PlanInk after the effective date of revised Terms constitutes your acceptance of those changes. If you do not agree to the updated Terms, you must discontinue use of the Software and may cancel your subscription for a pro-rata refund of any prepaid fees.
