License Agreement

01License Grant

Subject to your compliance with this Agreement and, where applicable, your payment of the applicable license fees, N2EDU grants You a limited, non-exclusive, non-transferable, revocable license to install and use the Software solely for your own internal business or personal purposes, on the number of devices permitted by your license tier.

No title to or ownership of the Software is transferred to You. This license does not include the right to sublicense, resell, distribute, or create derivative works of the Software.

02Restrictions

You may not, and may not permit others to:

• Copy, modify, adapt, translate, or create derivative works of the Software or any part thereof;
• Reverse engineer, disassemble, decompile, or attempt to derive the source code of the Software, except as expressly permitted by applicable law notwithstanding this restriction;
• Rent, lease, lend, sell, redistribute, sublicense, or otherwise transfer the Software or any license key to any third party;
• Remove, alter, or obscure any proprietary notices, labels, or marks on the Software;
• Use the Software to build a competing product or service;
• Share, publish, or disclose a license key to any person not authorized under your license tier;
• Use the Software in any manner that violates applicable laws or regulations.

03License Tiers

PlanInk is offered under the following tiers. The features and seat counts associated with each tier are defined on our Pricing page and may be updated from time to time.

Each "seat" represents one named or concurrent user. Sharing a single seat among multiple individuals simultaneously is a breach of this Agreement.

04Activation & Devices

The Software uses a cryptographic license key to activate paid features. Your license key encodes your tier and entitlements. You are responsible for keeping your license key confidential.

Each paid tier permits activation on up to 3 devices per seat, subject to the seat count of your tier (maximum 150 devices for Organization). Once the device limit for a seat is reached, new device activations will be refused until an existing device is deauthorized. We reserve the right to implement server-side device tracking and enforcement in future versions of the Software.

You may not transfer an activated license from one organization to another without written consent from N2EDU.

05Trial Licenses

N2EDU may, at its sole discretion, issue time-limited or feature-limited trial license codes. Trial codes unlock watermark-free saves for evaluation purposes only. Trial licenses:

• May not be used for ongoing commercial production work;
• Are issued one per person or organization and may not be shared;
• May be revoked at any time without notice if misuse is suspected;
• Do not constitute a commitment to issue further licenses or continue service.

The Basic (free) tier without a trial code is available for personal evaluation with watermarked output and is not subject to these trial-specific restrictions.

06Updates & Upgrades

N2EDU may, but is not obligated to, provide updates, patches, or new versions of the Software. Any such update or patch is considered part of the Software and is governed by this Agreement unless accompanied by a separate license. Upgrades to a higher tier require purchase of the new tier; your existing key will not automatically unlock higher-tier features.

N2EDU reserves the right to modify, suspend, or discontinue any feature of the Software at any time, with or without notice, and will not be liable to You or any third party for any such modification, suspension, or discontinuance.

07Ownership & Intellectual Property

The Software, including all source code, object code, documentation, graphics, user interface elements, and associated materials, is the exclusive property of N2EDU INC. and is protected by copyright, trade secret, and other intellectual property laws. All rights not expressly granted in this Agreement are reserved by N2EDU.

You retain all rights to the PDF documents and annotations You create using the Software. N2EDU claims no ownership over your content.

08Disclaimer of Warranty

THE SOFTWARE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED. TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, N2EDU EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

N2EDU does not warrant that the Software will meet your requirements, that it will operate without interruption or error, or that defects will be corrected. You assume all responsibility for the selection of the Software to achieve your intended results and for the installation, use, and results obtained from the Software.

09Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL N2EDU, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES (INCLUDING WITHOUT LIMITATION LOSS OF DATA, LOSS OF PROFITS, OR BUSINESS INTERRUPTION) ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF OR INABILITY TO USE THE SOFTWARE, EVEN IF N2EDU HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN ANY CASE, N2EDU'S AGGREGATE LIABILITY TO YOU UNDER THIS AGREEMENT WILL NOT EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID FOR THE SOFTWARE LICENSE IN THE TWELVE MONTHS PRECEDING THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100).

10Termination

This Agreement is effective until terminated. It will terminate automatically, without notice from N2EDU, if You fail to comply with any provision of this Agreement. Upon termination You must cease all use of the Software and destroy all copies, full or partial, of the Software in your possession or control.

N2EDU may also terminate this Agreement for any reason upon thirty (30) days' written notice. In the event of termination by N2EDU without cause, N2EDU will refund a pro-rated portion of any prepaid, unused subscription fees.

Sections 7 (Ownership), 8 (Disclaimer of Warranty), 9 (Limitation of Liability), and 11 (Governing Law) will survive termination of this Agreement.

11Governing Law

This Agreement will be governed by and construed in accordance with the laws of the State of Florida, United States, without regard to its conflict of laws provisions. Any dispute arising under or in connection with this Agreement will be subject to the exclusive jurisdiction of the state and federal courts located in Florida, and You consent to personal jurisdiction in such courts.

If any provision of this Agreement is found to be invalid or unenforceable, that provision will be modified to the minimum extent necessary to make it enforceable, and the remaining provisions will continue in full force and effect.
